Convisor Consulting Limited challenges Böhler-Uddeholm squeeze-out
Convisor Consulting Limited, a company registered on the Turks and Caicos Islands in the Carribean, as minority shareholder and attendee at the Annual General Meeting of Böhler-Uddeholm Aktiengesellschaft on 23 June 2008 brought an action with the Commercial Court of Vienna under docket no 34 Cg 59/08 w to challenge the resolution on shareholder exclusion under item 10 of the agenda of the Annual General Meeting. The Companies Register Court of Vienna will decide if the proceedings with respect to the registration of the shareholder exclusion (“squeeze-out”) are to stay until the action for the challenge before the Commercial Court of Vienna is settled. The registration of the squeeze-out in the Companies Register is a prerequisite for the legal validity of the squeeze-out, the payment of the cash compensation and the examination, if any, of the cash compensation by those shareholders that have been excluded. The Böhler-Uddeholm share is still publicly listed at the Vienna Stock Exchange.
